TERMS OF SERVICE

Welcome to Sato Player. These Terms of Service (“Terms”) govern your access to and use of the website located at satoplayer.com, the application at app.satoplayer.com, and any associated plugins or services (collectively, the “Service”) provided by Flixbox Solutions Private Limited (“Flixbox,” “we,” “us,” or “our”).

By registering for an account or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Data Processing Addendum (DPA).

1. THE SERVICE

Sato Player provides a customizable HTML5 video player and hosting platform. You may upload, transcode, and embed video content on third-party platforms (like Framer or Webflow).

2. REGISTRATION & ACCOUNT SECURITY

Account Creation: You must provide a valid email and username. Your account is verified via OTP.
Security: You are responsible for maintaining the confidentiality of your credentials. We provide Two-Factor Authentication (2FA) and strongly recommend its use.
Authorized Use: You are responsible for all activities that occur under your account.

3. PAYMENTS & SUBSCRIPTIONS

Pricing: We use transient IP detection to offer regional pricing. Indian users are billed in INR; international users are billed in USD.
Payment Processors: * India: Payments are processed via Razorpay. We collect billing addresses, phone numbers, and optional GST details as required by the gateway.
- International: Payments are processed via PayPal. You will be redirected to PayPal’s secure environment for final transaction handling.
Fees: All fees are non-refundable unless stated otherwise in our Refund Policy. We reserve the right to modify subscription fees with 15 days' notice.

Users are responsible for providing accurate billing and tax information. Sato Player utilizes this information to generate invoices and may share these details with our payment processors to facilitate transaction security and compliance.

4. PRIVACY & DATA PROCESSING

Privacy Policy: Our Privacy Policy explains how we handle your personal data as a Controller.
Data Processing Addendum (DPA): For users in the EEA, UK, or those processing data of individuals in those regions, our DPA is incorporated into these Terms.
International Transfers: Your data is stored on servers in India (AWS Mumbai & Digital Ocean). By using the Service, you consent to this transfer. EU/UK transfers are protected by Standard Contractual Clauses (SCCs) included in our DPA.
Viewer Privacy: Sato Player is cookie-less for end-viewers and does not track viewer behavior. You, as the Controller, are responsible for any third-party scripts you add to your site.

5. PROHIBITIVE CONTENT

You shall not use the Service to host, display, or transmit any content that:

Infringes any patent, trademark, or copyright.
Is defamatory, obscene, pornographic, or invasive of another’s privacy.
Contains software viruses or any malware designed to interrupt or limit the functionality of any computer resource.
Violates the laws of the Republic of India or the jurisdiction of your end-viewers.

6. DATA RETENTION & TERMINATION

Account Deletion: You may delete your account at any time.
Retention: Upon deletion, data is removed immediately. However, we reserve the right to retain certain data for up to 180 days to comply with legal obligations or facilitate account recovery before permanent destruction.
Suspension: We reserve the right to suspend or terminate access without notice if these Terms are breached.

7. INTELLECTUAL PROPERTY

Our Rights: Flixbox owns all rights to the Sato Player code, branding, and infrastructure.
Your Rights: You retain all ownership rights to the video content you upload. By uploading, you grant us a limited license to host and transcode the content solely to provide the Service.

8. LIMITATION OF LIABILITY

The Service is provided "AS IS." To the maximum extent permitted by law, Flixbox shall not be liable for any indirect, incidental, or consequential damages (including loss of data or profits) arising from your use of the Service or interruptions caused by our sub-processors (AWS, Digital Ocean, BunnyCDN).

9. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the Republic of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Guwahati, Assam, India.
